inZOI Canvas Content Agreement

This inZOI Canvas Content Agreement (hereinafter “Content Agreement”) applies when accessing and using Canvas as provided by Krafton (hereinafter “Company”) as part of its Game and Service. Your use of Canvas will also be governed by the inZOI Terms of Service and the Company's policies, unless otherwise mentioned in the Content Agreement. Capitalized terms not defined herein shall have the same meaning ascribed thereto in inZOI Terms of Service. This Agreement shall take precedence over the inZOI Terms of Service in the event of a conflict. By agreeing to these terms, you acknowledge and consent to adhere to the conditions of the inZOI Terms of Service and Privacy Policy concerning your use of Canvas. Please contact us at inzoi_support@krafton.com if you have any questions or feedback regarding this Content Agreement. The Company may change or update these Terms in the same manner as set forth in the inZOI Terms of Service.

You may only use Canvas in the following case:

• You have a KRAFTON ID account; and

• You agree to the InZOI Terms of Service, Privacy Policy and this Agreement

Using Canvas

You may use the Canvas to post, transmit, and store content (including but not limited to images, sounds, and videos) using the Game and/or Services (hereinafter “User Content”) that may be published within the inZOI Service. Company welcomes your creative content.

User Content that is created through inZOI is subject to publication within the Canvas for other users to view. Accordingly, Company reserves the right to review any and all content (including but not limited to the User Content and comments). If, upon review, Company determines that the User Content is in violation of this Content Agreement, Company policy (including but not limited to the inZOI Terms of Service), or related laws and regulations, Company may delete such content or take any action it deems necessary in its own discretion (e.g., require you to make modifications). In such cases, your profile image, cover image, introduction, nickname, and social channel links may also be deleted, and your nickname may be changed. Company is not be responsible for any damage or loss caused to you due to these deletions, changes to your nickname, or other actions taken.

Additionally, if you comment on content posted by another user on Canvas, and that content is deleted by the user or Company, your comment will also be automatically deleted. If you have any concerns regarding the rights to User Content, Company encourages you to contact the poster of the User Content directly to resolve the issue. Company is not required to mediate or assume responsibility for these disputes.

Ownership and Licensing

As explained in the inZOI Terms, User Content that is created using inZOI belongs to you, the user. When you post User Content on Canvas, your nickname will be displayed as the author by default (Note: When uploading combined furniture and room presets, the author of the individual User Content is not displayed). If you do not wish for your nickname to be displayed, you may choose not to post your User Content on Canvas. If you wish to change the name displayed as the author of your User Content, you can do so by modifying your nickname.

By creating User Content using inZOI and publishing content in the Canvas, you grant Company a free, permanent, global, non-exclusive, transferrable, sub-licensable license to use (modify, distribute, reproduce, publish, perform, display, translate, public transmission, create derivative works, use for machine learning, etc.) the User Content within the scope permitted by relevant laws and statutes. Company may create derivatives works from and use any or all of the User Content for any and all purposes, in its sole and absolute discretion, in any and all forms, by any and all means, in any and all media, now known or hereafter devised without any compensation due to you. The license granted to Company by you will remain effective even if you delete your User Content.

By posting your User Content at Canvas, you grant other users a global, non-exclusive and free license to access your User Content through the inZOI Service and view and non-commercially exploit the User Content (including the right to create derivative works) within their scope of use of the Game and Services as configured through settings provided by the service and to the extent permitted by the applicable law.

When you delete/deactivate your KRAFTON ID, your Canvas account will also be deleted . Subject to applicable laws, the content (including but not limited to the User Content and comments) you posted will not be automatically deleted. Even if you re-create a new account later, you will not be able to manage that content. The license you granted to the company will still apply even after your KRAFTON ID and Canvas accounts are deleted.

Canvas Content Restrictions

You agree NOT to use Canvas to publish the following content (including but not limited to the User Content and comments), which are strictly restricted in the Game and Service by Company:

• Content that may upset or offend other users, including language intended to attack, accuse, insult, intimidate, oppress, threaten, or abuse another person;

• Content that may be racially controversial;

• Content that may be socially controversial;

• Content that may be religiously controversial;

• Content that may be used for political purposes (or is derogatory to a specific country);

• Advertising contents or services (other than any ads placed in the Canvas or inZOI Service);

• Content encouraging infliction of self-harm;

• Content violating the rights of a third party, including intellectual property rights, rights granted under the contract, and rights to confidentiality and privacy;

• Content that is sexually offensive to others;

• Content that disparages others

• Content that repeatedly sends symbols, texts, sounds, images, or videos that cause fear or anxiety to others

• Content that is harmful to minors and is provided for profit without fulfilling legal obligations such as verifying the recipient's age and mandatory labeling

• Content that violates any applicable laws and regulations;

• Content that promotes discrimination, hate, racism, harassment, or causing harm to other individuals or groups;

• Content encouraging violence, money laundering, gambling, terrorism or other harmful acts, or on threatening or harassing other individuals or groups; and

• Any other content that users are prohibited from creating under inZOI Terms of Service.

In cases where the above-mentioned restricted contents are created and posted in Canvas, Company reserves the right to, at any time with notice to you (the user) and at its own discretion, revise, remove, or delete the content (including but not limited to the User Content and comments) or block you (the user) from accessing Canvas or posting User Content and comments.

Release and Waiver

You agree to release Company, its affiliates and subsidiaries, and, as applicable, their licensors and partners from any claims for compensation of damages, litigation, claims, liabilities, losses, or expenses (including the costs of litigation and lawyer’s retention fees), unless incurred intentionally or due to gross negligence (on the part of Company and its partners), and release Company and its affiliates, subsidiaries, licensors, and partners from liability with regard to (I) your and other users’ use of Canvas and User Content, (II) content created by you or other users using Canvas, and (III) violation of this Content Agreement, unless caused intentionally or due to gross negligence (on the part of Company and its partners). Except as set out elsewhere in this Content Agreement, Company and its affiliates and subsidiaries will not be liable to you or to any other person in the event that all or part of the Game and Services, including the Canvas and any of its services, are unavailable, discontinued, modified or changed in any way. Company, its affiliates and subsidiaries, and, as applicable, its and their licensors do not accept any responsibility for:

a) any damage or loss caused to you where you are not entering into this Content Agreement as a user or consumer;

b) any failure, suspension or termination of access to the Canvas services or any content in connection with or arising out of a force majeure event. In this Content Agreement, a "force majeure" event shall include, without limitation, strikes, lock-outs or other industrial disputes, nuclear accident or acts of God, war or terrorist activity, riot, pandemic, civil commotion, malicious damage, compliance with any law or government order, rule regulation or direction, accident or breakdown of plant or machinery, fire, flood, storm or default of suppliers, and where they are beyond our reasonable control, any other acts, events, omissions or accidents; or

c) any claims brought against you by a third party except as stated in this Content Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY ITS AFFILIATES AND SUBSIDIARIES, AND, AS APPLICABLE, ITS AND THEIR LICENSORS, WILL NOT BE LIABLE IN ANY WAY FOR ANY: (i) LOSS OF PROFITS; (ii) LOST REVENUE; (iii) LOST SAVINGS; (iv) LOSS OR EXPOSURE OF DATA; OR (v) ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SERVICES (INCLUDING STUDIO FEATURES) EVEN IN THE EVENT OF OUR FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY, BREACH OF CONTRACT, BREACH OF WARRANTY, OR OTHERWISE AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE LIABILITY OF COMPANY, ITS AFFILIATES AND SUBSIDIARIES, AND, AS APPLICABLE, ITS AND THEIR LICENSORS, ARISING UNDER, RELATING OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, INCLUDING ANY LIABILITY FOR DIRECT OR INDIRECT DAMAGES, LOSSES OR INJURIES, EXCEED FIFTY U.S. DOLLARS ($50). THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMISSIBLE AT LAW.

Specific matters not provided for in this Agreement may be provided for by Company in the InZOI Terms of Service. Please refer to the InZOI Terms of Service for further details.

Term, Deferral and Termination of the Agreement

Under this Content Agreement, you grant license rights set forth herein to Company in the following cases:

• Acceptance of the inZOI Terms of Service and this Agreement

• Uploading User Content to the Canvas

The license will be terminated on the date the User Content user uploaded to Canvas is deleted or the Game and/or Canvas is discontinued. However, even if the User Content is deleted, the license may be maintained under the following conditions:

- If other users have already created and posted User Content on Canvas based on the deleted User Content before its deletion.

- If other users have downloaded and stored the User Content as a local file before its deletion.

- If the Company has produced and distributed promotional materials containing the deleted User Content or if there is a reasonable reason to retain the deleted User Content for legal compliance.

- If the Company has used the deleted User Content for machine learning.

Copyright Notice

If you think any User Content published in Canvas or any materials or content from Companyp infringe your copyright-protected work under the copyright law, you may provide an infringement notice to Company’s designated agent as set forth below. Also, to ensure your notice is effective, you must include the following information:

a) Sufficient details to enable us to identify the work claimed to be infringed;

b) Your contact information, including your address and email address;

c) A statement that you have a good faith belief that the disputed work is not authorized by the copyright owner, its agent, or the law;

d) A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of an exclusive right in the work that is allegedly infringed; and

e) Your physical or electronic signature;

Effective Date

This Agreement is effective as of August 7, 2024.
